Welcome to Receptra. These Terms of Use govern your access to and use of the Receptra platform and services. By accessing or using Receptra, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Description of Services

Receptra provides AI phone agent services for home service businesses, including but not limited to:

  • Personalized phone numbers with AI agents
  • Call answering and handling
  • Appointment scheduling and management
  • Integration with third-party platforms
  • Call recording and transcription
  • Customer data management

3. Account Registration and Security

To use our services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Subscription and Billing

Our services are provided on a subscription basis. You agree to pay all fees associated with your selected plan. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

We may change our fees at any time by posting the changes on our website or by notifying you directly. Continued use of our services after a price change constitutes your acceptance of the new fees.

5. Free Trial

We may offer a free trial period for our services. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

6. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use our services in any way that violates any applicable federal, state, local, or international law or regulation
  • Use our services to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the services
  • Use our services to impersonate or attempt to impersonate Receptra, a Receptra employee, another user, or any other person or entity
  • Engage in any conduct that could disable, overburden, damage, or impair the proper working of our services
  • Use any robot, spider, or other automatic device, process, or means to access our services for any purpose
  • Use our services in any manner that could damage, disable, overburden, or impair the site or interfere with any other party's use of the services

7. Call Recording and Compliance

Our services include call recording functionality. You are responsible for complying with all applicable laws regarding call recording, including obtaining necessary consent from callers and providing appropriate notifications.

You agree to indemnify and hold Receptra harmless from any claims arising from your failure to comply with call recording laws and regulations.

8. Third-Party Integrations

Our services may integrate with third-party services such as ServiceTitan, Jobber, and others. Your use of such third-party services is subject to their respective terms of service and privacy policies.

Receptra is not responsible for the content, privacy policies, or practices of any third-party services. You release Receptra from any claims arising from your use of third-party services.

9. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by Receptra, its licensors, or other providers of such material.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services without our prior written consent.

10. User Content

You retain ownership of any content you submit to our services. By providing content to our services, you grant Receptra a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing our services.

You represent and warrant that your content does not violate any third-party rights and complies with all applicable laws and regulations.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. RECEPTRA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

RECEPTRA DOES NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

IN NO EVENT WILL RECEPTRA, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

13. Indemnification

You agree to defend, indemnify, and hold harmless Receptra, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

14. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of our services thereafter.

Your continued use of our services following the posting of revised Terms means that you accept and agree to the changes.

16. Governing Law and Jurisdiction

These Terms and your use of our services shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or our services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

17. Waiver and Severability

No waiver by Receptra of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Receptra to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

18. Entire Agreement

These Terms, our Privacy Policy, and any other agreements expressly incorporated by reference herein constitute the sole and entire agreement between you and Receptra regarding our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our services.
